Terms of Service

These Terms of Service ("Terms") govern your access to and use of zovralabs.com (the "Site") operated by Zovra Labs ("Zovra Labs", "we", "us" or "our"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

Zovra Labs is a software development company that designs, builds and operates tailor-made systems for its clients. Information on the Site is provided for general purposes only and does not constitute an offer.

Any software development, cloud, data or AI engagement is governed exclusively by a separate master services agreement and statement of work signed by both parties. If those documents conflict with these Terms, the signed agreement prevails.

You agree to use the Site only for lawful purposes. You must not:

• Attempt to gain unauthorised access to the Site, its servers or any connected systems.
• Interfere with or disrupt the integrity or performance of the Site.
• Use automated means to scrape or collect content except as permitted by our robots.txt.
• Submit false, misleading or unlawful information through our forms.
• Use the Site to transmit malware or any harmful code.

The Site and its content, including text, graphics, logos and code, are owned by or licensed to Zovra Labs and are protected by intellectual property laws. You may view and print pages for personal, non-commercial reference. Any other use requires our prior written consent.

Ownership of software and deliverables created for clients is set out in the relevant client agreement. As a rule, our clients own the code and IP we build for them.

Information you submit through the Site is handled in accordance with our Privacy Policy. Please do not submit confidential information through public forms; we are happy to sign a mutual NDA before detailed discussions.

The Site may link to third-party websites or reference third-party technologies and trademarks. We are not responsible for their content or practices. References to third-party products do not imply endorsement or partnership unless expressly stated.

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Case studies and figures are illustrative and do not guarantee similar results.

To the fullest extent permitted by law, Zovra Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or data, arising from your use of the Site. Our total liability relating to the Site will not exceed one hundred US dollars (US$100).

You agree to indemnify and hold harmless Zovra Labs and its officers, employees and agents from any claims arising out of your misuse of the Site or breach of these Terms.

These Terms are governed by the laws of New Zealand. The courts of New Zealand will have exclusive jurisdiction, unless mandatory local law provides otherwise.

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Site after changes take effect means you accept the revised Terms.
